1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of KayakVault, operated by STIX Outdoors, LLC ("Company", "we", "us", or "our"). By creating an account or using any part of the service, you agree to these Terms and our Privacy Policy.

2. Description of Service

KayakVault is a platform that allows users to:

• Create and manage a digital inventory of their kayaks and gear
• Connect with other kayak anglers and paddlers
• Buy, sell, and trade kayaks, gear, and accessories through our marketplace
• Discover and share kayak launch locations
• Share content including photos, videos, and posts
• Organize and participate in meetups and events

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to create an account and use KayakVault. By creating an account, you represent and warrant that you meet this age requirement.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. User Content

4.1 Your Content

You retain ownership of content you post on KayakVault ("User Content"). By posting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the service.

4.2 Content Guidelines

You agree not to post content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringes on any patent, trademark, copyright, or other intellectual property rights
• Contains software viruses or any other malicious code
• Is spam, advertising, or solicitation without our prior written consent
• Impersonates any person or entity or misrepresents your affiliation
• Contains personal information of others without their consent

4.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

5. Marketplace

5.1 Listings

When listing items for sale, you agree to:

• Provide accurate and complete descriptions of items
• Only list items you own and have the right to sell
• Comply with all applicable laws regarding the sale of goods
• Respond to buyer inquiries in a timely manner

5.2 Transactions

KayakVault provides a platform for users to connect for buying and selling. We are not a party to any transaction between users. You acknowledge that:

• We do not guarantee the quality, safety, or legality of items listed
• We do not guarantee the accuracy of listings or user representations
• We do not guarantee that buyers will complete purchases
• Transactions are conducted at your own risk

5.3 Prohibited Items

You may not list items that are illegal to sell, stolen, counterfeit, or otherwise prohibited by law.

6. Community Guidelines

To maintain a positive community, you agree to:

• Treat other users with respect and courtesy
• Not engage in harassment, bullying, or intimidation
• Not share misleading or false information
• Report violations of these Terms to us
• Follow safe practices when meeting other users in person

7. Meetups and In-Person Activities

KayakVault may facilitate organizing meetups and group activities. You acknowledge that:

• Participation in any meetup or activity is at your own risk
• We are not responsible for the actions of other users
• You should take appropriate safety precautions when meeting others
• Kayaking and water activities carry inherent risks

8. Intellectual Property

The KayakVault service, including its original content, features, and functionality, is owned by STIX Outdoors, LLC and is protected by international copyright, trademark, patent, and other intellectual property laws.

9. Third-Party Services

Our service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

10. Disclaimers

10.1 Service Availability

We do not guarantee that the service will be available at all times or without interruption. We may modify, suspend, or discontinue any part of the service at any time.

10.2 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STIX OUTDOORS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the service
• Any bugs, viruses, or the like that may be transmitted through the service
• Any errors or omissions in any content
• Any transactions between users

12. Indemnification

You agree to defend, indemnify, and hold harmless STIX Outdoors, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses arising from your use of the service or violation of these Terms.

13. Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the service will immediately cease
• We may delete your account and User Content
• Provisions of these Terms that should survive termination will remain in effect

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "last updated" date and, where appropriate, providing additional notice. Your continued use of the service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
